Vendors are engaged for specific projects only and are not authorized to use your information for any other purpose.
6.2 Service Providers
We may share information with trusted third-party service providers who assist us in operating our business (such as accounting, invoicing, or document management platforms). These providers are contractually required to protect your information and are prohibited from using it for any purpose beyond the service they provide to us.
6.3 Legal and Regulatory Requirements
We may disclose personal information where required by law, court order, or regulatory authority, or where we believe disclosure is necessary to protect the rights, property, or safety of Roleon, our clients, or others.
6.4 No Sale of Personal Information

7. Data Retention

Project records, invoices, and related documentation are generally retained for a minimum of five (5) years following project completion, consistent with standard business and tax record-keeping requirements.

1. Introduction & Acceptance
These Terms & Conditions ("Terms") govern the relationship between Roleon Investments LLC ("Roleon," "we," "us," or "our"), a New Jersey limited liability company, and any individual or entity ("Client") who engages Roleon for property conditioning and maintenance coordination services.
By engaging our services, executing a service agreement, or otherwise requesting work from Roleon, the Client agrees to be bound by these Terms. If you do not agree to these Terms, do not engage our services.
2. Services Provided
Roleon provides property conditioning and maintenance coordination services exclusively. These services include:
Property condition assessments and scope-of-work development
Sourcing, vetting, and coordinating licensed third-party contractors and vendors
On-site supervision and quality assurance of contracted work
Budget management, change-order coordination, and project documentation
Pre-listing property conditioning and post-inspection repair coordination
White-label maintenance coordination for property management firms
Roleon acts exclusively as a coordinator and supervisor of third-party work. Roleon does not:
Perform hands-on repairs, construction, or renovation work
Lease or list properties, collect rent, or screen tenants
Negotiate leases or represent any party in a real estate transaction
Provide real estate brokerage, investment, or legal advice
The Client retains full responsibility for all leasing, rent collection, tenant management, and real estate transactional activities.
3. Client Responsibilities
The Client agrees to:
Provide accurate and complete information about the property and project requirements
Review and approve all scopes of work and budgets prior to project commencement
Respond to communications from Roleon in a timely manner
Maintain appropriate property and liability insurance and, upon request, name Roleon as an additional insured
Ensure lawful access to the property for Roleon and its coordinated contractors
Make payments in accordance with the terms set forth in each project invoice
4. Project Approval & Authorization
Every project or maintenance engagement requires the Client's prior written approval of the scope, budget, and timeline before Roleon may proceed. No work will be commenced without explicit Client authorization. Roleon will present only work that is necessary and justified by the property's condition.
If unforeseen conditions or Client-requested modifications result in changes to an approved scope, budget, or timeline, Roleon will provide the Client with a written change order before proceeding. Emergency repairs necessary to prevent imminent damage or risk to health and safety are exempt, provided Roleon notifies the Client as soon as practicable.
5. Fees & Payment
Every Roleon invoice includes two components: (1) the cost of all labor and materials coordinated through Roleon's contractor network, and (2) a Coordination & Oversight Fee, clearly identified as a separate line item, which compensates Roleon for professional project management, on-site supervision, scheduling, quality assurance, and administrative coordination.
Prior to commencing any approved project, Roleon may require a project-specific deposit equal to fifty percent (50%) of the approved project budget. Any unused deposit balance will be refunded to the Client within fourteen (14) business days of final project sign-off.
For Landlord and Property Manager clients, a reserve fund minimum may be required to cover routine maintenance expenditures. Roleon will maintain records of all reserve fund expenditures and provide accounting to the Client monthly.
Invoices are due upon receipt unless otherwise agreed in writing. Roleon reserves the right to suspend services on accounts with outstanding unpaid invoices.
6. Quality Assurance & Acceptance
Roleon conducts multi-stage inspections throughout every project and performs a comprehensive final walk-through before project handover. No work will be accepted or invoiced to the Client unless Roleon has verified satisfactory completion in writing. Work that does not meet agreed scope and quality standards will be rejected, and the responsible contractor will be required to remediate at no additional cost to the Client.
7. Contractor Relationships
All physical work is performed by independent, licensed, and insured third-party contractors engaged by Roleon on the Client's behalf. Roleon is not responsible for the acts, omissions, workmanship, or defaults of any contractor, subcontractor, or vendor. Roleon's role is exclusively that of coordinator and supervisor of third-party work.
Roleon does not guarantee the performance, timeliness, or results of any individual contractor. However, Roleon will act as the Client's advocate to require remediation of substandard work before any invoice is accepted.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Roleon's total liability to the Client for any claim arising out of or related to the services provided under these Terms shall not exceed the total fees paid by the Client to Roleon in the three (3) months preceding the event giving rise to the claim.
Roleon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of use, or loss of data, arising out of or related to these Terms or the services provided, even if Roleon has been advised of the possibility of such damages.
9. Indemnification
The Client agrees to indemnify, defend, and hold harmless Roleon Investments LLC and its members, managers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the Client's use of the services; (b) the Client's breach of these Terms; (c) the Client's violation of any applicable law or regulation; or (d) any third-party claims related to the Client's property.
10. Confidentiality
Both parties agree to hold all Confidential Information — including vendor pricing, project budgets, financial records, client lists, and business strategies — in strict confidence and not to disclose it to any third party without prior written consent of the disclosing party, except as required by law. This obligation survives termination of the service relationship for two (2) years.
For property management firm clients using Roleon's white-label services, Roleon agrees to maintain strict confidentiality regarding the identity and existence of the coordination relationship as directed by the Client.
11. Termination
Either party may terminate the service relationship by providing written notice at least thirty (30) days prior to the intended termination date. If active project work is in progress at the time of any termination notice, the termination date shall be extended until the earlier of (i) project completion, or (ii) sixty (60) days after the original termination date.
Upon termination, Roleon will provide the Client with a final project status report and full accounting of all deposit and reserve fund transactions within seven (7) business days.
12. Force Majeure
Neither party shall be liable for delays or failures caused by circumstances beyond their reasonable control, including acts of God, labor shortages, supply chain disruptions, governmental orders, pandemic conditions, or other events outside their reasonable control. The affected party shall provide prompt written notice to the other party.
13. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the State of New Jersey.
Before initiating any legal proceeding, the parties agree to attempt to resolve disputes in good faith through direct negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may pursue available legal remedies.
14. Changes to These Terms
Roleon reserves the right to update or modify these Terms at any time. Material changes will be communicated to active clients via email. Continued engagement of Roleon's services following notification of any update constitutes acceptance of the revised Terms.
15. Entire Agreement
These Terms, together with any executed service agreement or project authorization between the parties, constitute the entire agreement between Roleon and the Client with respect to the subject matter hereof and supersede all prior negotiations, representations, and agreements, whether written or oral. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

1. Purpose
Roleon Investments LLC ("Roleon," "we," "us," or "our") is committed to delivering professional, transparent, and reliable property conditioning and maintenance coordination services. We take all complaints seriously and are committed to resolving concerns promptly, fairly, and respectfully.
This Complaints Policy establishes a clear process for clients — including landlords, real estate companies, property management firms, and any other party engaging our services — to raise concerns and have them addressed in a structured and timely manner.
2. Scope
This policy applies to all individuals and organizations who have engaged Roleon Investments LLC for property conditioning, vendor coordination, maintenance supervision, or any related service. It covers complaints about:
The quality of coordination or supervision delivered on a project
Communication or responsiveness from Roleon staff
Vendor or contractor conduct during Roleon-coordinated work
Billing, invoicing, or fee disputes
Project timelines, scheduling, or scope management
Any other aspect of the service experience
3. How to Submit a Complaint

3.3 In Person or by Phone
You may also raise a complaint directly with the Roleon project manager or company principal. Verbal complaints should be confirmed in writing as soon as reasonably practical to ensure a proper record is maintained.
4. Complaint Handling Process
4.1 Acknowledgement
We will acknowledge receipt of all written complaints within three (3) business days of receiving them. Acknowledgement will be provided via the same channel the complaint was submitted, or via email if a reply address is available.
4.2 Investigation
Roleon will conduct a fair and thorough investigation of every complaint. This may include:
Reviewing all relevant documentation, invoices, and project records
Speaking with the Roleon coordinator or project manager involved
Consulting with the vendor or contractor whose work is in question
Conducting an on-site visit or inspection where appropriate
4.3 Response
We aim to provide a full written response to all complaints within ten (10) business days of acknowledgement. Where a complaint requires a more complex investigation, we will notify you of the delay and provide a revised timeline.
Our response will include:
A summary of our findings
Any actions Roleon will take to address the complaint
Any remedies or adjustments offered, if applicable
Next steps if the complaint involves a third-party vendor
4.4 Resolution
Roleon aims to resolve all complaints fairly and to the client's reasonable satisfaction. Where a vendor or contractor is at fault, Roleon will act as the client's advocate to require remediation, re-work, or appropriate remedy at no additional charge to the client, consistent with our service guarantee.
5. Escalation
If you are not satisfied with the outcome of your complaint, you may request escalation to the company principal:

6. Record Keeping
Roleon maintains a written record of all formal complaints received, including the date received, nature of the complaint, investigation steps taken, outcome, and any remedies provided. These records are maintained for a minimum of three (3) years and are reviewed periodically to identify patterns and improve service delivery.
7. Confidentiality
All complaints will be handled with appropriate confidentiality. Information relating to your complaint will only be shared with those within Roleon who are directly involved in the investigation and resolution, and — where necessary — with the vendor or contractor whose conduct is under review.

8. No Retaliation
Roleon Investments LLC does not tolerate retaliation of any kind against any client who submits a complaint in good faith. Raising a complaint will not affect the quality of service you receive or your standing as a client.

This Complaints Policy will be reviewed annually and updated as necessary to reflect changes in our operations, service scope, or applicable legal requirements. The current version of this policy is available upon request.
